01 Acceptance of Terms

By using this website or any services provided by ARA Softwares, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), that you have the legal authority to agree to these Terms on your own behalf or on behalf of an organisation, and that you accept these Terms in full.

02 Use of the Website

03 Intellectual Property

All content on this website — including but not limited to text, graphics, logos, icons, images, software, and source code — is the property of ARA Softwares or its content suppliers and is protected by applicable intellectual property laws.

You may view and print pages from the site for personal, non-commercial use only. Any other use, including reproduction, modification, or distribution, requires our prior written consent.

04 Services & Client Engagements

All software development, design, marketing, and related services provided by ARA Softwares are subject to a separate written agreement (Statement of Work / Service Agreement) executed between ARA Softwares and the client. These Terms do not supersede or replace any signed service agreement; in the event of a conflict, the signed agreement prevails.

We reserve the right to refuse service to anyone for any reason at any time.

05 Payment Terms

Payment terms for all engagements are specified in the relevant invoice or service agreement. The following general terms apply unless otherwise agreed in writing:

• Project advance: A minimum advance payment (as specified in the proposal) is required before project commencement.
• Milestone payments: Subsequent payments are due at agreed project milestones.
• Final payment: All outstanding balances must be cleared before final deliverables are handed over or deployed to production.
• Late payments: Invoices unpaid beyond the due date may attract a late fee of 2% per month on the outstanding balance.
• Disputes: Payment disputes must be raised in writing within 7 days of invoice receipt. Failure to dispute within this period constitutes acceptance of the invoice.
• Taxes: All amounts are exclusive of applicable taxes (GST, etc.) unless stated otherwise. Tax will be added to invoices as required by law.

06 Refund Policy

Advance payments and milestone payments are non-refundable once the corresponding work has been commenced or delivered. Refund requests must be submitted in writing within 7 days of delivery. Approved refunds will be processed within 14 business days. No refunds are issued for completed and approved deliverables.

07 Confidentiality

Both parties agree to keep confidential any sensitive business, technical, or commercial information shared during the course of an engagement. This obligation survives the termination of any service agreement for a period of 3 years. This clause does not apply to information that is publicly available or independently developed by either party.

08 Limitation of Liability

To the maximum extent permitted by applicable law, ARA Softwares shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or business opportunities.
• Interruption or unavailability of the website or services.
• Damage resulting from third-party actions, security breaches beyond our reasonable control, or force majeure events.

Our total aggregate liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to ARA Softwares in the 3 months preceding the claim.

Nothing in these Terms excludes or limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.

09 Disclaimer of Warranties

This website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of viruses.

10 Third-Party Links

Our website may contain links to third-party websites. These links are provided for convenience only. We have no control over, and accept no responsibility for, the content, privacy practices, or terms of any linked website. Accessing third-party links is at your own risk.

11 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

We encourage you to contact us first to resolve any disputes amicably before initiating formal proceedings.
